Terms of Service
The rules for using ScrublyIQ. Written in plain English where possible. By using the Service you agree to what follows.
1. Acceptance of Terms
By creating an account, accessing, or using ScrublyIQ (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms apply to the individual user and, where the user is acting for an organization, to the MCA brokerage on whose behalf the user is using the Service.
2. Description of Service
ScrublyIQ is a bank statement analysis tool built for licensed Merchant Cash Advance (MCA) brokers. The Service extracts and analyzes transaction data from merchant bank statement PDFs, generates a Deal Card that includes a fundability score, runs fraud and anomaly detection, and matches merchant profiles against funder qualification criteria. ScrublyIQ is not a lender, not a broker, not a financial advisor, and not a credit reporting agency. All outputs are informational only — every funding decision is made by the broker and the funder, not by ScrublyIQ.
3. Eligibility
You may use the Service only if you (a) are a licensed MCA broker or an authorized employee or contractor of a licensed MCA brokerage; (b) are at least 18 years old; (c) have the legal authority to submit merchant financial documents to the Service on behalf of your brokerage and the underlying merchants; and (d) are not barred from using the Service under applicable law. You are responsible for confirming that your use of the Service is permitted under any licensing and financial-services regulations that apply to you.
4. User Responsibilities
- You must obtain explicit merchant authorization before uploading any merchant bank statement, personal information, or other financial record to the Service. ScrublyIQ does not collect this authorization on your behalf.
- You are responsible for the accuracy of any submission you make to a funder based on a ScrublyIQ Deal Card. A Deal Card is a starting point for broker review — not a final submission package and not a substitute for broker judgment.
- You must not upload documents that are fraudulent, altered, forged, or obtained without authorization. All uploads are logged and may be audited.
- You are responsible for keeping your account credentials secure, enabling available account protections (such as multi-factor authentication), and not sharing access with anyone outside your authorized organization.
- You must promptly notify ScrublyIQ of any unauthorized access to or use of your account.
5. Scan Credits and Billing
- Service usage is metered in Scan Credits ("ScrublyScans"). Each analysis consumes one credit at the point of scan.
- Unused credits do not roll over beyond the end of your billing period except where explicitly stated by your subscription plan.
- Accidentally-consumed credits are governed by the Oops Buffer policy available in your dashboard. Refund decisions are at ScrublyIQ’s discretion and require that the refund request be submitted within the window specified by that policy.
- Expired credits are not refundable under any circumstance.
- You authorize ScrublyIQ and its payment processor (Stripe) to charge your payment method for all fees associated with your subscription, top-up credit purchases, and any add-on services you enable.
- Prices are listed in U.S. dollars unless stated otherwise and do not include any taxes for which you are responsible.
6. Data and Privacy
Merchant financial data is processed under our Privacy Policy. Key commitments: uploaded PDFs are automatically deleted 3 days after upload; analysis results are retained for up to 90 days (unless extended by your plan); merchant-identifying fields such as business name and location are encrypted at rest with AES-256-GCM; we do not sell merchant data; and we do not share merchant data with funders without explicit broker action within the platform. 7. Intellectual Property
All software, models, scoring logic, algorithms, user-interface designs, marketing copy, trademarks, and other platform intellectual property are owned by ScrublyIQ or its licensors. Brokers retain ownership of their own merchant relationships and of the underlying merchant data they upload. Nothing in these Terms transfers ownership of platform IP to a broker, and nothing transfers ownership of broker or merchant data to ScrublyIQ. ScrublyIQ may process broker-submitted data solely as needed to provide, secure, and improve the Service, always subject to the Privacy Policy.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. Fundability scores, funder recommendations, fraud flags, and any other analytical output are informational only and do not guarantee or predict a funder’s actual decision. ScrublyIQ makes no representation that the Service will be error-free or uninterrupted. To the maximum extent permitted by law, ScrublyIQ disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Brokers must apply their own judgment and diligence before submitting any deal to a funder.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCRUBLYIQ’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID TO SCRUBLYIQ IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL SCRUBLYIQ BE LIABLE FOR LOST PROFITS, LOST FUNDING OPPORTUNITIES, LOST DATA, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY. Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the smallest amount permitted by applicable law.
10. Prohibited Uses
- Uploading documents you do not have explicit authorization to submit.
- Reverse engineering, decompiling, or attempting to extract the Service’s source code, models, prompts, or training data.
- Reselling, sublicensing, white-labeling, or redistributing access to the Service without a written agreement from ScrublyIQ.
- Using the Service to build a competing product, or to benchmark against ScrublyIQ in commercial materials, without consent.
- Using the Service in violation of applicable law, including laws governing financial services, data protection, anti-money-laundering, sanctions, and fair lending.
- Attempting to bypass rate limits, authentication, audit logging, or other security controls.
- Using the Service to store or transmit data unrelated to MCA deal evaluation.
11. Termination
ScrublyIQ may suspend or terminate your account, with or without prior notice, if you violate these Terms, if your use of the Service creates a security, legal, or compliance risk, if your payment method is invalid, or if suspension is required by law. You may close your account at any time from the dashboard settings. On termination, access to the Service ends immediately, retained analysis data is scheduled for deletion, and any unused credits are forfeited unless applicable law requires otherwise. Sections that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Governing Law) will survive.
12. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in New Jersey, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
